Introduction

0.1 General Terms and Conditions for consumers within the meaning of the Austrian Consumer Protection Act (KSchG) and entrepreneurs (as of: 01.03.2026).

0.2 General Terms and Conditions for consumers and entrepreneurs (hereinafter also referred to as "Terms" or "ToS") of CU Development GmbH, FN 610752 s, Grazer Straße 62, 8111 Gratwein Straßengel (hereinafter also referred to as "seeU"). CU Development GmbH operates the platform under the brand name "seeU Events".

1. Scope and General Provisions

1.1 Scope and Applicability. These Terms apply to all contracts concluded by seeU with consumers pursuant to Section 1(1)(2) KSchG and entrepreneurs (hereinafter also referred to as "Customer" or "Customers"). These Terms are accepted by all Customers during the registration process and can be accessed at any time in the App under Settings as well as at www.seeu.events/terms. Furthermore, these Terms also apply to the purely informational visit of our website (e.g., reading blog articles or event news). In this case, the visitor acknowledges agreement with the applicable provisions of these Terms, in particular the liability disclaimer for website content (see Section 8.9), by continued use of the website. Active confirmation of these Terms is only required when the user registers, purchases tickets, or conducts other contractual transactions via the seeU platform (App, website, or other online service).

1.2 Applicable Version. The Terms that are accessible at the time of use of services shall apply.

1.3 Amendment of Terms. seeU is entitled to amend these Terms at any time to adapt them to changed technical or economic conditions. seeU shall inform each Customer of all amendments to the Terms as well as the date of their entry into force. The seeU services may only be used after entry into force if the amended Terms are accepted. Continued use after entry into force shall constitute consent to the new Terms. If a Customer does not accept the amendments, they are obligated to independently delete their user account or immediately cease using the services.

1.4 Definitions. The following terms are used throughout these Terms:

  • A "User" is any person who has registered on the platform and uses the App or services of seeU.
  • A "Guest" is a User who has purchased at least one ticket for an event via the platform and thereby gains access to extended features such as event attendance and check-in.
  • A "Host" (also "Organizer") is a User who has been verified through the payment service provider and creates events and offers tickets for sale via the platform.
  • A "Co-Host" is a User appointed by the Host who holds limited permissions, as defined by the Host, for the management and execution of an event.
  • A "Partner" is a Host with extended features, whose partner status requires a separate agreement with seeU.
  • Where these Terms refer to "Customer" or "Consumer," this includes all registered persons (Users).
  • Users who have not yet completed the registration process have limited functionality. They may browse events and activate their location to discover events nearby. All further platform features become available only after completing their profile.

1.5 Communication and Delivery. All contract-relevant communications from seeU to the User shall be made either by email or via in-app notifications. A communication is deemed delivered as soon as it is made visible in the user account (in-app) or sent to the last registered email address. It is the User's responsibility to provide a valid and current email address and to regularly check the App.

2. Mission

2.1 Platform. seeU is an online platform consisting of multiple services that offers its Customers a novel experience in relation to events and social connections. On the seeU platform, Customers have the opportunity to organize events online as Hosts, to discover and attend events, and to connect with other Users who share similar interests through the App.

2.2 B2B and B2C. The platform can be used in both B2B and B2C segments.

3. Youth Protection

3.1 Minimum Age for App Usage. The App is available for download in the Google Play Store and the Apple App Store. Although anyone may download the App, it may only be used by persons who are 16 years of age or older. Users provide their date of birth during registration; seeU restricts access on this basis but cannot guarantee complete verification of actual age. Use of the App below the minimum age shall result in exclusion from the platform and suspension of the account.

3.2 Age Restrictions for Events. Events may be subject to age restrictions set by the Host. The available age restriction options are: none, 16+, 18+, or 21+. seeU endeavors to determine the actual age of Users; however, this is only possible to a limited extent. To verify age, Users enter their date of birth when creating their profile. It therefore cannot be excluded that the information provided may be inaccurate. The Host is responsible for conducting age verification at entry to their event. National and regional youth protection regulations shall in all cases take precedence over the age limits defined herein.

3.3 Code of Conduct. The Host is obligated to comply with and enforce applicable safety and public order regulations at their events. Guests must adhere to the Host's instructions, particularly regarding entry control, youth protection, health and fire safety regulations, and general conduct on-site (e.g., no aggressive behavior, destruction, or harassment of other persons). seeU assumes no responsibility for the enforcement of these regulations, as this falls within the Host's area of responsibility.

3.4 Legal Capacity and Ticket Purchases by Minors. Persons are considered to have full legal capacity from the age of 18. Minors between the ages of 16 and 18 have limited legal capacity and may only enter into contracts, in particular the purchase of event tickets, with the express consent of their legal guardians. Minors under 16 years of age may only attend events when accompanied by a legal guardian. In such cases, the ticket purchase must be made by the legal guardian. Regardless of these provisions, a refund of the ticket price is generally excluded.

4. Contractual Relationships

4.1 Platform Operator. seeU is the owner and operator of the platform. seeU merely provides the platform on which Hosts can sell admission tickets for their events and Guests can purchase them.

4.2 Types of Events on the Platform. Events are displayed on the platform in different forms:

(a) Events created by Hosts: These are created by a Host registered on seeU and include the full functionality of the platform, in particular ticket sales, check-in, and payouts. The Host is responsible for the accuracy and completeness of all event information. seeU has no influence on the event description and cannot be held liable if it does not correspond to the actual conditions on-site.

(b) Externally displayed events: Certain events displayed on the platform originate from publicly available sources and are not operated by a Host registered on seeU. For such events, seeU merely provides general information. seeU is neither the organizer nor an intermediary in these cases and assumes no warranty for the accuracy, completeness, or timeliness of the displayed information. No contractual relationship between the User and the external organizer is established through seeU.

(c) Use of App features at third-party events: Users may use certain features of the platform, in particular Event Mode (see Section 12), in connection with events that are not organized through seeU. The use of the App at such events is at the User's own risk and responsibility. It is the User's responsibility to ensure that the use of the App is permitted at the respective event venue. seeU assumes no liability for any conflicts, claims, or damages arising from the use of the App at third-party events.

4.3 Host and Guest as Contracting Parties. The legally binding offers of the Host may be accepted by Guests in a legally binding manner. seeU is not the organizer and assumes no obligations incumbent upon an organizer. seeU exclusively provides the platform on which Hosts present their offers and Guests purchase tickets. The contract for event attendance is concluded exclusively between the Host and the Guest; seeU is not a party to this contract. All organizational and substantive obligations regarding the execution, design, and safety of an event lie solely with the Host. This includes in particular obtaining required permits, compliance with safety regulations, and responsibility for personal injury or property damage that may occur at the event venue.

4.4 No Influence on Events. As operator of the platform, seeU has no influence whatsoever on the course of events organized by the Host.

4.5 Verification. For certain features or events, verification of the User by a valid photo identification document may be required, for example by the payment service provider or due to an age restriction for event participation. A User who wishes to act as a Host must in all cases verify themselves through the payment service provider used by seeU and provide the required information completely and truthfully.

4.6 Complimentary Tickets. seeU reserves the right to grant certain persons access to events without payment of ticket fees. The issuance of such tickets is made directly by seeU and does not require consultation with the Host. Such persons include, for example, platform employees, anonymous inspectors, photographers, media representatives, press members, and influencers with existing cooperation agreements. The number of complimentary tickets is limited and never exceeds a defined percentage of the total ticket count. The exact quota is determined by seeU and may vary by event. This provision applies only to publicly accessible events, not to private events.

4.7 Ticket Reservation. When purchasing tickets, the User is granted a time-limited reservation window of 5 minutes within which payment must be completed. After expiration of the reservation period, reserved tickets are automatically released and made available to other Users. Only one active reservation per User per event is permitted at any time. The maximum number of tickets a User may purchase per event is determined by the Host.

4.8 Co-Hosts. The Host may appoint one or more Co-Hosts for their event. Co-Hosts receive limited permissions defined by the Host, which may include in particular the check-in of guests and the editing of event details. The appointment and management of Co-Hosts is carried out exclusively by the Host. The Host bears responsibility for the actions of Co-Hosts within the scope of the permissions granted to them.

4.9 Event Visibility. Events may be created in three visibility levels: Public events are discoverable in the general event feed and via search. Private events are accessible exclusively via a direct link and do not appear in the public feed. Partner events have extended visibility features and require a separate partner agreement with seeU.

5. Host and Cancellation

5.1 Event Description Content. The Host is responsible for the content of the event description.

5.2 Discriminatory Content. The Host undertakes not to use any sexually offensive, discriminatory, or religiously harassing statements or images when creating an event.

5.3 Ticket Prices. The Host may create public events where participation is either free of charge or the minimum ticket price is USD 5.00. The maximum ticket price is limited to USD 999,999.99. For free tickets, no payment processing through the payment service provider takes place.

5.4 Event Lifecycle. An event created through seeU passes through the following phases: After creation, the event is in "pending" status and transitions to "upcoming" status upon publication, during which ticket sales may be active. At the start of the event, it transitions to "ongoing" status. After the event concludes, a completion phase follows during which ratings by Guests are possible. Subsequently, the event is archived. An event canceled by the Host receives "canceled" status.

5.5 Event Rescheduling. In the event of rescheduling, the previously purchased ticket remains valid. A refund of the ticket price due to rescheduling is excluded.

5.6 Event Cancellation by Host. The Host may cancel the event before the event start. In the event of cancellation, all paid tickets are automatically flagged for refund. The cancellation is reflected in the Host's ratings and is taken into account when calculating their host rating.

5.7 No Right of Withdrawal. Tickets for events that are tied to a specific date or time period are not subject to any right of withdrawal pursuant to the applicable distance selling regulations. Once purchased, tickets cannot be canceled or returned by the Guest. Upon completion of the purchase process, the acquisition is deemed final. A refund of the ticket price at the Guest's request is excluded, regardless of the circumstances.

5.8 Refund upon Event Cancellation. If the event is canceled by the Host, the Guest shall receive a refund of the ticket price previously paid, less the seeU service fee. The service fee is non-refundable in all cases. For non-European card payments, different fees may apply due to payment processing. The refund is processed automatically through the payment service provider. The service fee is shown separately on the invoice issued for the ticket.

5.9 Host Insolvency. If an event is canceled due to the insolvency of a Host and the ticket price cannot be refunded to the Guest for this reason, seeU will endeavor to assert claims for damages. It is noted, however, that seeU cannot be held liable for the successful enforcement of such claims and the associated potential refund.

5.10 Prohibition of Commercial Resale. The purchase of multiple tickets for an event is intended solely for a single User to use them as group tickets or to assign them to other privately known persons (e.g., family members). The resale of tickets for commercial purposes is expressly prohibited. In the event of a violation, seeU reserves the right to cancel the affected tickets without refund and to exclude the affected user account from further use of the platform.

6. Billing and Invoicing

6.1 Electronic Invoicing. The Customer expressly agrees to the issuance of invoices in electronic form. An electronic invoice is an invoice that is issued and received in an electronic format. The invoice is delivered by email and is also visible in the App.

6.2 Fee Structure. When purchasing a paid ticket, the amount to be paid by the buyer consists of the ticket price set by the Host and the seeU service fee. The service fee amounts to 5% of the ticket price plus the statutory value-added tax (currently 20% Austrian VAT) on the service fee. Additionally, a payment processing fee charged by the external payment service provider applies. The service fee and the payment processing fee are shown separately on the invoice. No fees apply to free tickets.

6.3 Payment Processing and Escrow Model. Payment processing is carried out through an external payment service provider. seeU acts as an intermediary and trustee between the Host and the buyer. Payment is first transmitted from the buyer to seeU and remains in escrow with seeU until the event is completed. Only after successful completion of the event does the transfer to the respective Host take place. Any fees, such as transaction, international, or chargeback fees, shall be charged to the party that caused them. Should problems or fraud incidents arise in connection with a transaction, seeU is entitled to cancel the relevant booking and suspend the relevant user account if there is a justified suspicion of misuse.

6.4 Payout to Host. The Host shall receive the ticket price less the processing fees charged by the payment service provider after completion of the event. The seeU service fee is retained prior to payout. A prerequisite for receiving payouts is the successful verification of the Host through the payment service provider used by seeU. seeU reserves the right to agree on deviating terms for special arrangements.

6.5 Event Rating. After the conclusion of an event, Guests have the opportunity to rate the event within 48 hours. The rating system uses a scale of 1 to 5 stars, with 5 stars representing the highest rating. Ratings serve as feedback for the Host and are incorporated into the publicly visible host rating. Ratings have no influence on the amount of the payout to the Host.

6.6 Invoicing Feature for Hosts. Hosts have the option to activate an invoicing feature when creating an event. In this case, an invoice in PDF format is automatically generated for each successful ticket purchase. The invoice data, in particular company name, VAT identification number, and other business information, is sourced from the Host's profile. The Host is responsible for the accuracy and completeness of this information. After the conclusion of the event, the Host receives a compilation of all invoices by email.

7. Content, Intellectual Property, and Data Protection

7.1 Content and License. seeU permits Users of the platform to submit and publish text, graphics, images, photos, videos, ratings, comments, or other materials ("Content"). This includes in particular Content provided within the scope of Event Mode (see Section 12), in chats, or in shared photo albums. By providing Content through the seeU App, Users agree that seeU may use such Content for publication on the platform. Users thereby grant seeU a worldwide, irrevocable, perpetual, non-exclusive, royalty-free license to publicly display, process, or otherwise use the Content as limited to this purpose on the platform. seeU claims no ownership rights to such Content and nothing in these Terms restricts the rights that Users may have to use and manage such Content. By uploading Content within the scope of an Event Mode (see Section 12), Users additionally grant the respective Host a non-exclusive, royalty-free license to use the uploaded Content within the platform in their event album and host profile, as well as outside the platform in connection with the documentation and promotion of the relevant event.

7.2 Responsibility and Public Accessibility. Users are responsible for all uploaded and shared Content. Accordingly, Users represent and warrant that they are the sole and exclusive owners of all Content they provide or that they have all rights, licenses, consents, and permissions required to grant seeU the aforementioned rights, and that neither the Content nor its publication, uploading, transmission, or use by seeU infringes the rights of any third party. Users are advised that certain Content, in particular photos and videos uploaded within the scope of Event Mode, may be technically publicly accessible. seeU assumes no liability for third-party access to such publicly accessible Content.

7.3 Prohibited Content. It is prohibited to post or transmit Content on or from the platform that is unlawful, threatening, defamatory, obscene, pornographic, or otherwise infringing, contains any material, in particular advertising or marketing for goods and services, material that infringes copyright, trademark patents, or other rights of a third party, or contains viruses, trojans, or other infected files. seeU is not obligated to pre-screen Content provided by Users but employs automated moderation systems (see Section 16). Content that does not meet the above criteria shall not be published and may be removed or reported at any time without prior notice.

7.4 Anonymized Data Use and AI Processing. seeU reserves the right to learn from User data in anonymized form, in particular to analyze preferences and interests and to continuously improve the offering. This also includes the creation of vector embeddings from event data to improve search functionality and the automated processing of Content for moderation and quality assurance purposes. All applicable data protection laws are observed, and only anonymized or pseudonymized data that does not allow conclusions about individual persons is processed. Details on data processing and User rights can be found in the separate Privacy Policy.

7.5 Data Protection Provisions. The processing of personal data of Users is carried out exclusively in accordance with applicable data protection regulations and the separate Privacy Policy. Detailed information on the type, scope, and purpose of data processing as well as the rights of data subjects can be found therein.

7.6 Disclosure of Personal Data to Host. To the extent that the disclosure of personal data is necessary for the execution of an event, such disclosure is made exclusively for the purpose of organizing and conducting the event. This includes, for example, contact data, profile information, and other information provided by the User during registration or in their profile. Disclosure is made exclusively to the respective Host, who is responsible for the proper processing and protection of such data. seeU acts exclusively as an intermediary and assumes no liability for data processing by the Host. For uses beyond the organization of the event, the separate consent of the affected Users is required.

7.7 Use of Host and Event Data for Advertising Purposes. seeU is entitled to use the data transmitted by the Host in the course of registration and event creation, as well as all related content and information, for advertising and marketing purposes. This includes in particular the publication, distribution, and promotion of host profiles and event data, including on external platforms operated by or cooperating with seeU. seeU assumes no liability for any further use by third parties, provided such use occurs within the scope of the intended advertising measures.

7.8 Rights to Personal Profile Information. Users who create a public profile make all personal data contained in that profile available to seeU. seeU receives the non-exclusive, worldwide, irrevocable, and royalty-free right to display, reproduce, and distribute such profile information in connection with the provision of the platform and the promotion of the services offered. Users retain their copyright and ownership of their content. Further commercial use beyond the scope of presentation in connection with seeU services requires the express written consent of the respective User.

7.9 Right of Access and Data Portability. Users may request information about the personal data stored in connection with their account at any time. A request via the support chat or by email is required for this purpose. To ensure that only the account holder receives the information, appropriate identity verification is required. seeU shall provide the corresponding data extract within 30 days of receipt of the duly identified request. Users furthermore have the right to receive the personal data they have provided to seeU in a structured, commonly used, and machine-readable format (data portability).

7.10 Account Deletion. The User may delete their account at any time via the settings in the App. If, at the time of the deletion request, there are still open obligations (in particular valid tickets for upcoming events, active Co-Host roles, or pending payouts), the account shall first be deactivated. During deactivation, the profile is no longer visible to other Users and all active features of the platform are no longer available to the User. The final deletion of the account and all associated data occurs automatically once all open obligations have been fulfilled, but no later than seven (7) days after the expiration of the last obligation. Upon deletion, all biometric data (see Section 14), location data, and chat content shall be removed. Excepted from this are data that seeU is required to retain for legally prescribed periods due to legal obligations (e.g., tax or commercial law retention requirements). After the expiration of these periods, such data shall also be promptly deleted.

7.11 Platform-Generated Content. seeU automatically creates certain content within the scope of the platform, in particular static map images for event locations, ticket documents in PDF format, invoices, and vector embeddings for search functionality. Such platform-generated content is the sole property of seeU or the respective third-party providers and may not be reproduced or redistributed outside of the intended use without express permission.

8. Liability

8.1 Accuracy of Event Descriptions. seeU shall not be liable for the accuracy of the information provided in event descriptions, the images published by the Host, or the contractually relevant representations made by the Host to Guests.

8.2 Force Majeure. seeU shall not be liable for slight negligence or damages due to force majeure. If a force majeure event prevents seeU from fulfilling its obligations in whole, in part, in accordance with the contract, or in a timely manner, seeU shall be released from its contractual obligations for the duration of the force majeure event. "Force majeure" means an event that was unforeseeable for either party with the application of the utmost reasonable care, including in particular events such as war, insurrection, civil unrest, embargo, epidemics (pandemics), fire, flooding, severe weather, interruption of power supply, internet outages, cybercrime, and governmental orders as a consequence of the foregoing events. In the event of a breach of material contractual obligations (so-called cardinal obligations), seeU shall be fully liable for intentional or grossly negligent breaches of duty. In the case of slight negligence, liability shall be limited, to the extent permissible, to the foreseeable damage typical for the contract.

8.3 Third-Party Claims. seeU shall not be liable for lost profits, savings, damages arising from third-party claims, or other indirect or consequential damages.

8.4 Tax Obligations of Hosts. Hosts are responsible for taxing their income in accordance with applicable national tax laws. seeU is neither liable for compliance with nor verification of these tax obligations and does not provide tax or legal advice. The Host is solely responsible for informing themselves of the applicable laws and properly fulfilling their tax and levy obligations. seeU assumes no responsibility for the accuracy or completeness of the Host's representations regarding tax obligations.

8.5 Permits and Licenses. The Host is obligated to obtain all necessary permits and licenses for their event and to comply with all relevant legal provisions. Furthermore, the Host must ensure that they are authorized to conduct the event at the event venue. seeU assumes no liability for the procurement of such permits and licenses or for compliance with legal requirements. If the Host fails to comply with these obligations and damages, penalties, or other claims arise therefrom, the Host is obligated to indemnify seeU against all claims. The Host further undertakes to comply with all applicable consumer protection laws as well as safety and quality standards.

8.6 Exclusion of Liability for Personal Injury and Property Damage On-Site. seeU acts exclusively as a platform operator and is not the organizer of the events offered through the platform. Accordingly, seeU has no influence on local conditions or the execution of events. The respective Host is solely responsible for ensuring the safe conduct of the event and taking all necessary precautions for the protection of persons and property. seeU shall not be liable for personal injury or property damage arising in connection with the event or at the event venue. Claims arising from such damages are to be asserted exclusively against the respective Host.

8.7 Platform Downtime. seeU endeavors to minimize outages or disruptions of the platform. Nevertheless, maintenance work, technical disruptions, or other unforeseeable events may lead to temporary unavailability of the services. In such cases, ticket validation via the App is also possible without an active internet connection and even in the event of a server outage in a special offline mode. Since access to tickets purchased by Users is not possible during downtime, Users receive their tickets directly after purchase additionally by email. In the event of an outage, the ticket can therefore still be presented. seeU shall be held harmless in connection with a temporary outage or limited availability of the platform.

8.8 Beta Tests. A selected group of Users may be provided with new or enhanced App features for testing in advance ("Beta Testers"). Beta Testers are aware that the features under testing are still in development and may therefore be subject to errors or limitations. seeU excludes all liability for damages caused by these beta features. Withdrawal from the beta testing program is possible at any time. seeU is not obligated to make new features or test participation available to all Users.

8.9 Website Visits. seeU provides various information on its website (e.g., blog articles, event news) that serves exclusively general informational purposes. seeU endeavors to carefully create and update such content but assumes no warranty for its completeness, accuracy, or timeliness. To the extent that links to external websites or third-party content are provided, seeU has no influence on their design or content and assumes no liability therefor. As soon as seeU becomes aware of unlawful content on linked pages, such links shall be removed promptly.

8.10 Face Recognition. The face recognition feature available on the platform is based on automated image analysis by an external service provider. Recognition is based on a similarity assessment and may produce both false positive and false negative results. seeU assumes no warranty for the accuracy of face recognition and shall not be liable for damages arising from incorrect matches. Further details on face recognition are set out in Section 14.

8.11 Chat and Encryption. Direct and group messages are stored in encrypted form. The encryption is symmetric; decryption keys are managed by seeU. This therefore does not constitute end-to-end encryption in the traditional sense. Under certain circumstances, in particular in the case of a legal obligation, seeU may access the content of encrypted messages. Event chats are expressly not encrypted and are stored in plaintext. Further details on the chat system are set out in Section 11.

8.12 Content Moderation. seeU employs automated moderation systems to review uploaded Content for violations of the usage guidelines. These systems operate on the basis of probability assessments and may incorrectly reject content or fail to detect impermissible content. seeU assumes no warranty for the complete detection of all content that violates the rules. Video content is currently not automatically moderated. Further details on content moderation are set out in Section 16.

8.13 Location Data. The accuracy of the location features provided on the platform depends on the GPS quality of the respective device. seeU assumes no liability for inaccurate location data or resulting impairments, in particular in the display of nearby events or location sharing between Users. Further details on location data are set out in Section 15.

8.14 Third-Party Dependency. The availability of the platform and individual features depends on external service providers, in particular for payment processing, data storage, notification delivery, and content moderation. seeU shall not be liable for outages, delays, or limitations caused by the unavailability or disruption of these external services. Further details on third-party services are set out in Section 18.

9. Violations of the Terms

9.1 Exclusion from Platform. seeU is entitled, in the event of violations of one or more of these provisions, to temporarily or permanently (and without prejudice to further legal action against the affected User) suspend, delete, prevent the publication of the User's posts, profiles, and content in whole or in part, and/or suspend their access to the seeU platform in whole or in part.

9.2 Damage Claims. The assertion of further claims, in particular claims for damages, is expressly reserved by seeU.

9.3 Impermissible Use. Any use of the App that exceeds the intended scope of functionality or violates applicable law, these Terms, or public morals is prohibited. This includes in particular any attempt to circumvent security-relevant restrictions, to impair the integrity of the App, or to unlawfully extract data. Such impermissible use shall result in immediate exclusion from the platform and suspension of the account. seeU furthermore reserves the right to initiate criminal proceedings or take further legal action in the event of such violations.

9.4 Prohibition of Data Extraction (Scraping and Crawling). The automated or manual collection of user or other data from the App ("scraping," "crawling," or similar techniques) is strictly prohibited. seeU reserves the right to take legal action against such interference. Such conduct may result in civil and criminal consequences.

9.5 Log Review in Case of Suspected Misuse. seeU reserves the right, in the event of a concrete suspicion of unlawful use or use in violation of these Terms, to review and evaluate the corresponding data and logs. If seeU determines a violation in the course of such a review, seeU is entitled to remove the relevant content and/or suspend the affected user account and, where applicable, to initiate further legal action.

9.6 Reporting System. Users have the ability to report other Users, events, and media content if they violate the usage guidelines or applicable law. Reports may be submitted in particular for spam, inappropriate content, misleading information, fraud, or violence. Only one report per User per reported item is permitted. Reports are reviewed by seeU; seeU decides at its own discretion on the measures to be taken. Media content that is independently reported by multiple Users may be automatically hidden pending review.

9.7 Misuse of the Reporting System. The reporting system is intended exclusively for the reporting of actual violations. The abusive use of the reporting system, in particular the repeated submission of unfounded, malicious, or coordinated reports, is prohibited. seeU reserves the right to temporarily or permanently exclude Users who abuse the reporting system from the platform.

9.8 Account Suspension and Consequences. In the event of an account suspension, the affected User loses access to all features of the platform. This includes access to previously purchased tickets. A refund of the ticket price in the event of an account suspension due to a violation attributable to the User is excluded. seeU reserves the right to impose account suspensions on a temporary or permanent basis. seeU endeavors, before imposing a permanent suspension, to notify the affected User of the violation and to provide them with an opportunity to respond, provided the severity of the violation permits this.

10. User Connections and Social Features

10.1 Connections Between Users. Users may establish connections with other Users through the platform. A connection enables in particular the exchange of direct messages (see Section 11), mutual location sharing (see Section 15), and access to shared event histories. Connections may be established in the following ways:

  • (a) QR Code: One User scans the QR code of another User.
  • (b) NFC: Connection via near-field communication between two devices.
  • (c) Invitation Link: A User shares a personal invitation link with another person.
  • (d) Contact Invitation: A User invites a person via their contact details to the platform.
  • (e) Photo Connect: Two Users take a photo together in which both faces are recognized. A prerequisite is that both Users have activated the face recognition feature (see Section 14).

10.2 Managing and Ending Connections. Each User may unilaterally end an existing connection at any time. A terminated connection cannot be restored; however, the affected Users may establish a new connection. Upon termination of a connection, the prior chat history is retained for both Users, but no new messages can be sent.

10.3 Blocking. Users may block other Users. A block prevents the blocked User from contacting the blocking User, viewing their location, or establishing a new connection. The blocked User is not informed that they have been blocked. The block may be lifted by the blocking User at any time.

10.4 Following Hosts. Users may follow Hosts. Following is a one-way feature and does not require confirmation by the Host. Users who follow a Host may receive notifications about new events by that Host. Following may be ended at any time.

10.5 Profile Visits. Visits to User profiles are logged by the platform. This data is used to improve the platform and to analyze user behavior. Profile visits are not displayed to the visited User.

10.6 Stored Connection Data. In connection with a User connection, seeU stores the connection identifier, the associated chat room, the time of connection, the connection method, and, where applicable, a reference to the event or Event Mode at which the connection was established. For connections via Photo Connect, the connection photo is additionally stored. All connection data is removed upon deletion of the user account pursuant to Section 7.10.

11. Chat and Messaging

11.1 Chat Functions. seeU provides Users with the following chat functions:

  • (a) Direct Messages: Encrypted one-on-one conversations between two connected Users. Direct messages remain permanently available as long as both user accounts are active.
  • (b) Group Chats: Encrypted conversations between multiple Users. Group chats remain permanently available as long as the participating user accounts are active.
  • (c) Broadcast Messages: Encrypted, one-way communications from a Host to all ticket holders of an event. These serve in particular for the communication of organizational information before or during an event.
  • (d) Event Chat: A temporary, unencrypted group chat available to all participants of an active Event Mode (see Section 12). The Event Chat is deactivated upon conclusion of the Event Mode.

11.2 Encryption and Data Access. Direct, group, and broadcast messages are stored in encrypted form. Encryption is performed symmetrically at the level of the respective chat room. Decryption keys are managed by seeU. This therefore does not constitute end-to-end encryption in the traditional sense; seeU has the technical ability to access the content of encrypted messages. Such access occurs exclusively in the event of a legal obligation or in the enforcement of these Terms where there is a concrete suspicion of serious violations. Event chats are expressly not encrypted and are stored in plaintext. Users should not share confidential information in Event chats.

11.3 Messages and Content. Messages may contain text, images, location information, and references to events or posts. The maximum message length is 8,192 characters. The usage guidelines pursuant to Section 7.3 apply to all content shared via the chat functions. seeU reserves the right to remove content that violates the usage guidelines and to take appropriate measures pursuant to Section 9.

11.4 Deleting Messages. Users may delete their own messages. Deleted messages are displayed as deleted for all conversation participants and the message content is no longer retrievable. seeU notes that metadata of deleted messages (in particular timestamp and sender) may continue to be stored for technical and legal reasons.

11.5 Read Receipts and Muting. Messages include read receipts that indicate to the sender whether a message has been read. Users may mute individual chat rooms to stop receiving notifications for that chat. Muting has no effect on the receipt of messages themselves.

11.6 Blocking. Users may block connections with other Users (see Section 10.3). A block prevents the delivery of further messages between the affected Users. Existing messages remain in the chat history.

12. Event Mode

12.1 Description and Purpose. Event Mode is a real-time feature of the platform that is activated when Users are physically present at a gathering or event. Event Mode enables in particular sharing photos and videos in a shared album, a group chat among participants, discovery of the Event Mode by other Users nearby, and face recognition tagging in uploaded media (if activated, see Section 14). A User may only be in one active Event Mode at a time.

12.2 Types of Event Modes. Two types of Event Modes are distinguished:

(a) Official Event Mode: Automatically created when the first Guest checks in at an event organized through seeU. The official Event Mode is linked to the respective event and ends when the event concludes. The Host has the ability to compile a permanent event album from the media shared in the Event Mode.

(b) User-Created Event Mode: May be created spontaneously by any User, independently of an event organized through seeU. User-created Event Modes have a default duration of 4 hours and end automatically after this time. The use of a User-created Event Mode at third-party events is at the User's own risk and responsibility (see Section 4.2(c)).

12.3 Features During Event Mode. During an active Event Mode, the following features are available to participants:

  • (a) Shared Album: All participants may upload photos and videos that are visible to all Event Mode participants. The provisions on Content (Section 7), content moderation (Section 16), and face recognition (Section 14) apply accordingly.
  • (b) Group Chat: A temporary chat room available to all Event Mode participants. The group chat in Event Mode is expressly not encrypted and is stored in plaintext (see Section 11.2). The chat room is deactivated upon conclusion of the Event Mode.
  • (c) Proximity Discovery: Active Event Modes may be discovered by other Users in the surrounding area. Visibility is limited to a defined radius.
  • (d) Location Map: During Event Mode, the User's location is continuously captured (see Section 15.1) to provide the map feature for connected Users.
  • (e) Media Interaction: Participants may like and comment on uploaded photos and videos.

12.4 Joining and Leaving. Joining an official Event Mode occurs automatically upon check-in to an event. For User-created Event Modes, joining is initiated by the User. Users may leave an Event Mode at any time. All joins, departures, and the ending of an Event Mode are logged.

12.5 Event Album. For official Event Modes, the Host has the ability to compile a permanent event album by selecting media from the shared album. This event album is displayed in the Host's profile on the platform and remains available after the Event Mode has ended. The license provisions pursuant to Section 7.1 apply to the media contained in the event album. The Host is entitled to use the media contained in the event album also outside the platform, in particular for the documentation and promotion of the event on third-party platforms. For use outside the seeU platform, the Host bears sole responsibility, in particular with regard to compliance with the rights of depicted persons (right to one's own image), data protection regulations, and copyright requirements. seeU assumes no liability for the use of media by the Host outside the platform. Users who are identified in photos in the event album via face recognition may request to be hidden pursuant to Section 14.4. The hiding takes effect exclusively within the seeU platform. For media already shared by the Host outside the platform, hiding is technically not possible; claims arising therefrom are to be directed to the Host.

12.6 Responsibility When Uploading and Sharing Media. Users who upload photos or videos within the scope of an Event Mode are aware that such media are visible to all Event Mode participants, may be included by the Host in the event album, and may be used outside the platform within the scope of Section 12.5. By uploading, the User confirms that they hold the necessary rights to the content and that the depicted persons are not presented in a manner that violates their personal rights. Users who download or share photos or videos from the shared album or event album on third-party platforms bear sole responsibility for compliance with the copyright and personal rights of the depicted persons. seeU assumes no liability for the use of media by Users outside the platform.

13. Shared Media

13.1 Uploading and Publication. Users may upload photos and videos to the platform within the scope of active Event Modes. Uploaded media are initially visible only to the uploading User. Publication in the shared album occurs only after an automated content review (see Section 16). Media that comply with the usage guidelines become visible to all Event Mode participants. Media that violate the usage guidelines are not published; the uploading User is informed of the rejection and the reason therefor.

13.2 Removing and Deleting Media. Users may remove their own published media from the shared album at any time. Removed media are no longer visible to other Users but may be restored by the uploading User. Furthermore, Users may permanently delete their media. A permanent deletion cannot be reversed. seeU notes that media already downloaded by other Users or shared outside the platform are not affected by deletion on the platform.

13.3 Public Accessibility. Users are advised that media published on the platform are technically provided via publicly accessible storage systems. seeU endeavors to restrict access to the intended platform functions but cannot exclude that media may be accessible outside the App. Users should therefore not upload media they consider confidential. seeU assumes no liability for third-party access to publicly stored media.

13.4 Social Interaction with Media. Published media may be liked and commented on by other Users. Comments are subject to the same usage guidelines as all other content on the platform (see Section 7.3). Users may report inappropriate media or comments (see Section 9.6). Media that are independently reported by multiple Users may be automatically hidden until a review by seeU has taken place.

13.5 Face Recognition in Media. Faces in published photos are automatically detected. For Users who have activated the face recognition feature (see Section 14), a comparison with their stored face model is performed. Recognized Users are notified and may add the photo to their personal gallery or hide themselves from the assignment. For Users who have not activated face recognition, no assignment takes place. Faces of persons who are not registered on the platform are neither recognized nor stored.

13.6 Ownership and License. Users retain full ownership and copyright of their uploaded media. By uploading, Users grant seeU and the respective Host a license of use pursuant to Section 7.1. The downloading, sharing, or other use of media from other Users outside the platform is at the sole responsibility of the acting User, who bears sole responsibility for compliance with copyright and personal rights.

14. Face Recognition and Biometric Data

14.1 Purpose and Voluntariness. seeU offers an optional face recognition feature that enables Users to be recognized in photos and videos shared on the platform within the scope of events and Event Modes (see Section 12). The feature serves in particular the following purposes:

  • (a) Finding Photos: Users may find themselves in event photos uploaded by other participants and add these photos to their personal gallery or request to be hidden from the respective photo.
  • (b) Photo Connect: Two Users may establish a connection by taking a joint photo in which both faces are recognized.
  • (c) Retroactive Recognition: If a User enrolls in face recognition at a later point in time, photos already on the platform may be retroactively checked for matches.

The use of face recognition is entirely voluntary. All core features of the platform, in particular ticket purchase, check-in via QR code, and connection with other Users via QR code, NFC, or invitation link, are available at all times without activation of face recognition.

14.2 Consent and Enrollment. Activation of face recognition requires the express, informed consent of the User. Enrollment is performed by the User uploading a selfie. Prior to enrollment, the User is informed of the nature, scope, and purpose of the processing of their biometric data. Consent may be withdrawn at any time (see Section 14.5). Without express consent, no biometric data of the User is collected or processed.

14.3 Processing and Storage. Face recognition is performed by an external service provider. In the course of enrollment, the following biometric data is collected and stored:

  • (a) The selfie image uploaded by the User, stored on seeU's servers.
  • (b) A mathematical face model (face embedding) stored in the database of the external service provider and assigned to the user account.
  • (c) A technical identifier assigned by the external service provider to link the face model to the user account.

The transmission of biometric data to the external service provider is made to servers located in the United States. seeU ensures through appropriate contractual measures, in particular Standard Contractual Clauses pursuant to the GDPR, that an adequate level of data protection is guaranteed.

14.4 Recognition in Media. When photos or videos are uploaded to the platform within the scope of an Event Mode, faces contained therein are automatically detected and compared with the face models of enrolled Users. Recognition is based on a similarity assessment and may produce both false positive results (incorrect assignment) and false negative results (missed recognition). seeU assumes no warranty for the accuracy of recognition. Faces of Users who are not enrolled in face recognition are technically detected but not assigned to any identity. Users who are recognized in a photo are given the opportunity to add the photo to their personal gallery or to hide themselves from the assignment. Hiding causes the photo to no longer be shown as associated with the affected User.

14.5 Withdrawal and Deletion. The User may withdraw their consent to face recognition at any time. Withdrawal is performed via the corresponding function in the App settings. Upon withdrawal, all biometric data of the User is irrevocably deleted. This includes:

  • (a) The stored selfie image.
  • (b) The face model (face embedding) at the external service provider.
  • (c) All assignments stored on the platform between the User and recognized faces in media.

After withdrawal, the User will no longer be recognized in future uploaded photos. Photos already downloaded by other Users or shared outside the platform are not affected by the deletion, as they are outside the control of seeU.

14.6 Photos of Other Persons. Users who upload photos within the scope of Event Modes are advised that other persons may be depicted in such photos. By uploading, the User confirms that the depicted persons are not presented in a manner that violates their personal rights. Enrolled Users who are recognized in an uploaded photo are informed of the recognition and may decide whether to accept the assignment or hide themselves.

15. Location Data

15.1 Collection of Location Data. seeU collects location data of Users, provided the User has granted location permissions on their device. Collection occurs in the following cases:

  • (a) When browsing events, to show the User events nearby.
  • (b) When using the search function, to provide location-based search results.
  • (c) When creating an Event Mode (see Section 12), to make it discoverable for other Users nearby.
  • (d) When specifying a hometown in the user profile.

Outside of Event Mode, seeU does not perform background location tracking. While a User is actively in an Event Mode, the location is continuously captured and updated in the background. This is necessary to provide the map feature through which connected Users (provided mutual location sharing is activated pursuant to Section 15.2) may view the locations of their connections in real time. Continuous location capture ends automatically once the User leaves the Event Mode.

15.2 Location Sharing Between Users. Users have the ability to share their location with other Users. Location sharing is deactivated by default and may be configured by the User in three levels:

  • (a) Deactivated (default): The User's location is not visible to anyone.
  • (b) All Connections: The location is visible to all Users with whom an active connection exists.
  • (c) Selected Connections: The location is visible only to individually selected connections chosen by the User.

Location sharing is subject to a reciprocity principle: A User's location is visible to another User only when both Users have activated sharing for each other. Location data older than 24 hours is no longer displayed to other Users.

15.3 Use and Storage. Collected location data is used by seeU for the following purposes:

  • (a) Display of relevant events near the User.
  • (b) Enabling location sharing between connected Users pursuant to Section 15.2.
  • (c) Discovery of active Event Modes in the User's vicinity (proximity discovery).

Location data is stored on seeU's servers. seeU endeavors to store location data only for as long as necessary for the stated purposes. Upon deletion of the user account (see Section 7.10), all stored location data of the User is removed.

15.4 Accuracy and Liability. The accuracy of the location features depends on the GPS quality of the respective device as well as local conditions. seeU assumes no liability for inaccurate location data or resulting impairments, in particular in the display of nearby events or location sharing between Users.

16. Content Moderation

16.1 Principle. seeU employs automated moderation systems to review uploaded Content for violations of the usage guidelines prior to publication. Moderation serves the protection of Users and the maintenance of a safe platform environment. seeU is furthermore entitled to manually review content at any time and to remove it where applicable.

16.2 Image Moderation. Photos are automatically reviewed for impermissible content by an external service provider prior to publication. The review covers in particular the detection of explicit nudity, sexually suggestive content, violence, visually disturbing depictions, drugs, alcohol and tobacco references, and hate symbols. Media classified as impermissible are not published. The uploading User is informed of the rejection. The review is based on a probability assessment. It may therefore occur that permissible content is incorrectly rejected or impermissible content is not detected. seeU assumes no warranty for the complete detection of all content that violates the rules.

16.3 Video Moderation. Video content is currently not automatically reviewed for impermissible content. Users are therefore particularly responsible for not uploading video content that violates the usage guidelines (see Section 7.3). seeU reserves the right to introduce automated video moderation at a later time. Impermissible video content may be reported by other Users (see Section 9.6) and shall be removed upon review where applicable.

16.4 Text Moderation. Text content, in particular messages, comments, and descriptions, may be automatically reviewed for impermissible content. The review is performed by an external service provider and serves the detection of, among others, hate speech, glorification of violence, sexual content, and harassment. Erroneous assessments may also occur in this context.

16.5 User-Based Moderation. In addition to automated systems, Users may report content that violates the usage guidelines (see Section 9.6). Media that are independently reported by multiple Users may be automatically hidden until a final review by seeU has taken place. The ultimate decision on the removal or restoration of reported content lies with seeU.

16.6 Third-Party Providers. Automated image and text moderation is performed by external service providers. In the course of moderation, the content to be reviewed is transmitted to these service providers. Further information on the service providers used can be found in Section 18. seeU ensures through appropriate contractual measures that the transmitted data is processed exclusively for the purpose of content review.

17. Notifications

17.1 Types of Notifications. seeU sends notifications to Users in the following forms:

  • (a) Push Notifications: Delivered to the User's device via an external notification service. Push notifications include in particular communications regarding chat messages, new connections, event updates, ticket purchases, refunds, check-in openings, Event Mode activities, and interactions with media.
  • (b) Transactional Emails: Sent automatically to the User's registered email address upon certain actions. These include in particular authentication emails (magic link, OTP), ticket confirmations, refund notifications, and invoices.

17.2 Marketing Notifications. In addition to transactional notifications, seeU may inform Users about new events from Hosts they follow as well as other offers and news. The sending of such marketing notifications requires the separate consent of the User. Consent may be withdrawn at any time in the App settings.

17.3 Deactivation. Push notifications may be deactivated by the User at any time via the device settings or in the App. The deactivation of push notifications has no effect on the receipt of transactional emails that are necessary for contract performance (e.g., ticket confirmations, authentication).

18. Third-Party Services and Data Transfers

18.1 Use of Third-Party Providers. seeU engages external service providers to deliver its services. These service providers process personal data of Users on behalf of seeU to the extent necessary for the respective function. seeU selects service providers with care and ensures through appropriate contractual agreements that they comply with applicable data protection regulations.

18.2 Overview of Third-Party Service Categories. The following categories of external service providers are engaged by seeU:

  • (a) Payment Processing: An external payment service provider processes all payment transactions on the platform. In particular, name, email address, payment information, and transaction amounts are transmitted to the service provider. For Hosts receiving payouts, business data and banking information are additionally processed.
  • (b) Face Recognition and Image Moderation: An external service provider performs face recognition (see Section 14) and automated image moderation (see Section 16). Image data and biometric data are transmitted to the service provider in this context.
  • (c) Text Moderation: An external service provider reviews text content for violations of the usage guidelines (see Section 16). The texts to be reviewed are transmitted to the service provider.
  • (d) Notifications: Push notifications are delivered through an external service. Device tokens and notification content are transmitted to the service provider.
  • (e) Email Delivery: Transaction-related emails (in particular authentication, ticket confirmations, refunds, and invoices) are sent through an external email service provider.
  • (f) Data Storage and Infrastructure: The platform uses an external infrastructure provider for databases, authentication, file storage, and server logic.
  • (g) Security and Bot Protection: External services are used for device verification and protection against automated access (bots).
  • (h) Error Monitoring: An external service is used for the detection and resolution of technical errors. Technical data such as error messages and device type may be transmitted.
  • (i) Semantic Search: To improve search functionality, event texts are converted into vector embeddings by an external service provider.

18.3 Data Transfers to Third Countries. The external service providers engaged by seeU are partially based outside the European Economic Area (EEA), in particular in the United States of America. seeU ensures that appropriate safeguards pursuant to the GDPR are in place for all data transfers to third countries. This is achieved in particular through the conclusion of Standard Contractual Clauses (SCCs) pursuant to Art. 46(2)(c) GDPR or on the basis of an adequacy decision of the European Commission pursuant to Art. 45 GDPR, where such a decision exists. This applies in particular to the transmission of biometric data within the scope of face recognition (see Section 14) and the processing of payment data.

18.4 Responsibility of Third-Party Providers. seeU shall not be liable for data protection violations or other damages caused by the acts or omissions of the engaged third-party providers, provided seeU has applied due care in the selection and monitoring of the service providers. Payment processing is subject to the separate terms and conditions and privacy policies of the respective payment service provider. Users are advised that by using the payment functions, they may also enter into a contractual relationship with the payment service provider.

19. Data Retention

19.1 Principle of Data Retention. seeU stores personal data of Users only for as long as necessary for the fulfillment of the respective purposes or as required by statutory retention obligations. The following provisions provide an overview of the retention periods for the principal data categories.

19.2 Retention Periods. The following retention periods apply to the principal data categories:

  • (a) Profile Data: Stored for the duration of the active user account and removed upon account deletion pursuant to Section 7.10.
  • (b) Event Data: Active events are stored for the duration of their lifecycle. After conclusion of an event, data is archived and remains in archived form on the platform to provide permanent event histories, ratings, and event albums.
  • (c) Payment and Invoice Data: Stored in accordance with statutory tax and commercial law retention obligations for a minimum of seven (7) years after completion of the transaction.
  • (d) Biometric Data: Stored exclusively for the duration of active enrollment in the face recognition feature and promptly and completely deleted upon withdrawal of consent (see Section 14.5) or account deletion.
  • (e) Location Data: Stored for the duration of the active user account. Upon account deletion, all location data is removed.
  • (f) Chat Messages: Messages deleted by the User are removed in terms of content; metadata (timestamp, sender) may persist for technical reasons. Upon account deletion, all messages of the User are removed.
  • (g) Media: Media deleted by the User are marked as deleted and are no longer retrievable. Upon account deletion, all media of the User are removed. Media that have been included by the Host in an event album may continue to be available on the platform pursuant to Section 12.5.
  • (h) Notifications: Stored for the duration of the active user account and removed upon account deletion.

19.3 Right to Erasure. Users have the right pursuant to Art. 17 GDPR to request the erasure of their personal data. The exercise of this right is performed via account deletion pursuant to Section 7.10. seeU is entitled to defer erasure to the extent that processing is necessary for compliance with a legal obligation or for the establishment, exercise, or defense of legal claims.

19.4 Right to Data Portability. Users have the right pursuant to Art. 20 GDPR to receive the personal data they have provided to seeU in a structured, commonly used, and machine-readable format. The request for a data extract may be made via the App settings or through support. seeU shall provide the data extract within 30 days of receipt of the request.

20. Final Provisions

20.1 Applicable Law. Austrian substantive law shall apply, excluding its conflict-of-law rules. The applicability of the UN Convention on Contracts for the International Sale of Goods is expressly excluded. These Terms are provided in English and are universally valid for all Users.

20.2 Jurisdiction. The exclusive place of jurisdiction is the competent court in Graz, Austria.

20.3 Dispute Resolution. For Users within the European Union, all disputes arising from or in connection with these Terms or the use of the seeU platform shall be resolved exclusively through the statutory legal process before the competent courts. For Users outside the European Union, it is agreed that all disputes arising from or in connection with these Terms or the use of the seeU platform shall be resolved by binding arbitration. In the context of this arbitration, both parties expressly waive the possibility of filing class actions.

21. Severability Clause

21.1 Should any provision of these Terms be or become wholly or partially invalid due to statutory provisions, the remaining provisions of these Terms shall remain in full force and effect. The parties undertake to replace the invalid provision with a valid provision the content of which most closely approximates the economic effect of the invalid provision.
